Terms of Service Spudmark Effective Date: October 22, 2026 1. WHAT SPUDMARK IS These terms are an agreement between you and Spudmark LLC, a California limited liability company ("Spudmark," "we," "us"). Spudmark is proof-of-service software for small service businesses. It lets a company's owner set up a job-completion workflow, lets field crew members record completed work (checklists, photos, notes, signatures) on their phone, and gives the owner a lasting record of what your business documented on the job. 2. ACCEPTING THESE TERMS By creating an account, you agree to these Terms of Service and our Privacy Policy. If you're creating an account on behalf of a company, you're confirming you have the authority to bind that company to these terms. 3. YOUR ACCOUNT You're responsible for keeping your login credentials secure and for all activity under your account. You must provide accurate information when you sign up and keep it current. 4. YOUR DATA AND CONTENT You (or your company) own the customer information, photos, notes, and other content your business enters into Spudmark ("Your Content"). You grant Spudmark a license to host, store, copy, transmit, back up, and otherwise process Your Content -- including through the third-party service providers listed in our Privacy Policy -- as reasonably necessary to operate, secure, and support the service. We do not sell Your Content, and we do not use it for any purpose beyond operating and improving Spudmark. 5. YOUR RESPONSIBILITY FOR WHAT YOU UPLOAD You represent that you have the necessary rights and permissions to collect and upload the customer information, photos, signatures, and other material you submit through Spudmark, including any consent required from your customers or employees under applicable law. 6. ACCEPTABLE USE You agree not to use Spudmark to store or transmit anything unlawful, to attempt to access another company's data, to interfere with the service's normal operation, or to reverse-engineer the software. 7. SERVICE CHANGES AND YOUR DATA Spudmark is a new service, and its features may change or be removed. We don't guarantee against data loss -- please keep your own copies of anything you can't afford to lose (for example, download a completed job's PDF for your own records). We'll do our best to give advance notice of major changes. 8. NOT A COMPLIANCE OR LEGAL RECORD Spudmark helps you document completed work. It does not verify, certify, or guarantee that any job meets a specific licensing, safety-code, insurance, or regulatory requirement. Reports generated through Spudmark are records of what your business documented, not an official inspection or compliance certification. 9. FEES Spudmark is free. A company that signs up before we announce paid pricing is an "early signup," and its account stays free for as long as the account remains active. This belongs to that company and can't be transferred. No card is needed. Companies that sign up after we announce pricing may be charged. The rest of these terms, including our right to change or end the service, still apply. 10. TERMINATION You may cancel your account at any time. We may suspend or terminate an account that violates these terms or that we reasonably believe poses a risk to the service or other customers. After your access ends, you may request an export of Your Content for 30 days. After that 30-day window, or immediately upon an explicit deletion request (whichever comes first), we will delete your active data within 30 days, with backup copies purging entirely within 90 days. 11. DISCLAIMER OF WARRANTIES Spudmark is provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose. 12. LIMITATION OF LIABILITY To the maximum extent permitted by law, Spudmark and its owners are not liable for indirect, incidental, or consequential damages arising from use of the service. Our total liability for any claim is limited to the total fees you paid us in the twelve months before the claim arose. 13. CHANGES TO THESE TERMS We may update these terms from time to time. If we make a material change, we'll notify you (e.g. by email or in-app notice) before it takes effect. 14.
